Agreement version: 2026-10-15
Last updated: October 15, 2026
This agreement is between you and AlgoLens Group LLC, a Florida limited liability company, Florida, USA (Florida Department of State document no. L26000264311) ("AlgoLens", "we", "us"). It governs your use of the AlgoLens Factory desktop software.
- E-mail, for support and legal notices: contact@algolens.ai
The short version
The numbered sections below give the details. In short:
- Try it free for 14 days, with every feature, including exporting EA code. A card is required. Cancel before the trial ends and you pay nothing.
- If you do not cancel, the trial turns into the plan you chose and we charge your card on day 15, at the date and time shown at checkout: either one payment for a Permanent license, or the first of 12 monthly payments of a 12-month subscription.
- The 12-month subscription ends by itself after the 12th payment, and your license becomes permanent. You can cancel at any time and you never owe the remaining payments, but the license becomes permanent only after 12 paid charges.
- Full refund within 7 days of your first charge, if you ask. After that, and for every later monthly charge, there are no refunds.
- One person, one computer at a time. Move it yourself: deactivate it in the Software at any time, or free a computer on our website up to 3 times in any 12 months.
- New versions for 12 months from the first charge. After that, any renewal is optional, paid, and never charged automatically. Without renewing, the versions you have keep working with no expiry date.
- The EAs you generate are yours.
- Trading is risky and backtests are hypothetical. We do not promise results and we do not give investment advice. You alone decide what to trade.
- The Software runs offline. It contacts us only to activate, deactivate, and check the license, to check for a new version when it starts and once a day while it stays open, and to download a new version when you click Update now. On the 12-month subscription it must connect about once a month. It sends your license key, a machine code, and its version number, and at activation also its release date and the version of this agreement you accepted. It never sends your strategies, your data, or how you use it.
- Nothing is ever deleted when a license ends. The Software switches to read-only mode.
1. This agreement
1.1 How you accept it. You accept this agreement by checking the box that says you agree, at checkout on algolens.ai or when you first activate the Software. We record the version you accepted: the website records it at checkout, and the Software sends it to our server when you activate. If you do not agree, do not start a trial, buy, or activate the Software.
1.2 Who can accept it. You must be at least 18 years old and old enough to make a binding contract where you live. If you accept on behalf of a company, you confirm that you can bind it, and "you" means that company. The license still covers one person (Section 3.2).
1.3 Other documents that apply.
(a) The order summary shown at checkout (plan, price, and dates). If it differs from this agreement on price or dates, the order summary applies.
(b) Our Privacy Policy, at https://algolens.ai/privacy.
(c) If you buy a bundle that includes AlgoLens Analytics, the AlgoLens Terms of Service at https://algolens.ai/terms, which govern your use of Analytics. The charges for a bundle, including cancellation and refunds, follow Sections 5 to 7 of this agreement.
1.4 Words with a specific meaning.
- "Software" means the AlgoLens Factory desktop application for Windows, its documentation, and any version of it we make available to you.
- "EA" means an Expert Advisor (an automated trading strategy for MetaTrader 5) or other trading strategy generated with the Software, including its source code, settings, and reports.
- "Machine" means one computer, physical or virtual (for example, a Windows VPS), as identified by its Machine Code (Section 9.3).
- "Account" means your account on algolens.ai, which includes the My licenses page.
- "Permanent license" means a license with no expiry date: one bought with a single payment, or a 12-month subscription after 12 paid charges.
- "Versions-until date" means the last release date your license covers (Section 11).
2. What AlgoLens Factory is, and what it is not
2.1 The Software is a research tool that runs on your computer, under Windows. It searches the historical price data you choose for trading rules, tests them, and exports the ones you choose as EA source code (.mq5 files) for MetaTrader 5. To run an exported EA, you need MetaTrader 5 and an account with a broker.
2.2 It is not investment advice, a signal service, a managed account, or a broker. We do not know your finances or your goals. Nothing in the Software, its documentation, our website, or our support recommends any trade, strategy, instrument, or broker.
2.3 AlgoLens is not registered with any regulator as an investment adviser, commodity trading advisor, or broker.
2.4 Other companies' software and services. The Software works with software and services from other companies, such as MetaTrader (MetaQuotes Ltd.), your broker, your data providers, Microsoft Windows, and our payment processor, Stripe. We do not control them, and their own terms apply between you and them. Their changes can affect how the Software or an EA works, for example a MetaTrader update, or a broker changing a symbol's name, contract size, spreads, or trading hours. We are not responsible for their products, their services, or their outages.
2.5 MetaTrader is a trademark of MetaQuotes Ltd. AlgoLens is not affiliated with or endorsed by MetaQuotes or by any broker.
3. Your license
3.1 What we grant. Under this agreement, we give you a non-exclusive, non-transferable license to install and use the Software on one Machine at a time, while your license is valid under Sections 5 to 11.
3.2 One person. The license is for one person. Keep your license key private, because anyone who has it can try to activate it. Do not share your key or let others use your activation.
3.3 What you may not do. You may not:
(a) copy the Software, except to install it on your activated Machine and to keep backups;
(b) sell, resell, rent, lend, sublicense, publish, or distribute the Software or your license key;
(c) decompile, disassemble, or reverse engineer the Software, except to the extent that the law allows it despite this restriction;
(d) remove, disable, or work around the license check, or help anyone else do so;
(e) remove copyright or other notices from the Software.
3.4 We keep ownership of the Software. The Software is licensed, not sold. We and our licensors own it and all rights in it. This agreement gives you no right to use our names, logos, or trademarks.
3.5 Third-party components. The Software includes open-source components. Their own licenses, listed in the third-party notices that come with the Software, apply to them. Where those licenses give you more rights than this agreement, those rights prevail.
3.6 Remote access is for you. The Software can let you use it from another device of yours, such as an iPad or another computer, on the same local network as the activated Machine (Section 9.10). Remote access does not use a Machine: it is part of the license on the activated Machine. Use it only yourself, on your own devices. Do not give the address, the password, the QR code, or an access code to anyone else, and do not use remote access to let another person use the Software.
4. Your EAs and your data
4.1 Your EAs are yours. As between you and us, you own the EAs you generate, including EAs exported during a trial. We claim no rights in them. You may use, change, publish, share, sell, or license them for any purpose, including commercial use, both during and after your license. Exported code carries a comment saying that it was generated with AlgoLens Factory, and you may remove it.
4.2 Our code inside your EAs. The source code of an EA is assembled from templates and building blocks that are part of the Software. We give you a perpetual, irrevocable, worldwide, royalty-free license to use, copy, change, distribute, and sell that code as part of your EAs. This license does not end when your Software license ends. It does not let you take the templates out of the Software to build a product that generates strategies.
4.3 No exclusivity. Other users can generate EAs identical or similar to yours. We do not promise that any EA is unique or that it can be protected by copyright or any other right.
4.4 Exporting needs a valid license. Exporting or viewing EA code is a feature of the Software, so it works only while your license allows it (Section 10). EA files you have already exported are ordinary files that you keep: they do not check your license and they keep working in MetaTrader 5. If you want to keep the code of an EA, export it while your license is valid.
4.5 Your data stays on your computer. Your factories, strategies, reports, EAs, price data, and settings are stored on your Machine. We do not receive them and cannot recover them. Keep your own backups.
4.6 Price data. You choose the price data the Software uses, and you are responsible for having the right to use it under your broker's or data provider's terms. When the Software reads price history from a MetaTrader terminal on your computer, it does so locally, and that terminal's connection to your broker is between you and your broker.
4.7 You may review us freely. Nothing in this agreement limits your right to publish honest reviews of the Software, or your own results with it.
4.8 Suggestions. If you send us ideas or suggestions, we may use them without owing you anything. You keep whatever rights you have in them.
5. Free trial
5.1 Length. The trial lasts 14 days from sign-up, not from activation. It ends at the date and time shown at checkout and in your Account.
5.2 Every feature. During the trial every feature works, including exporting EA code, and every version of the Software works.
5.3 Card, and what happens at the end. A payment card is required to start the trial. At sign-up you choose a plan (Section 6). If you do not cancel before the trial ends, the trial turns into that plan automatically and we charge your card on day 15, at the date and time and for the amount shown at checkout.
5.4 Reminder. Before the first charge, we or our payment processor e-mail you a reminder. The charge date does not depend on whether you receive it.
5.5 How to cancel the trial. Cancel in My licenses on algolens.ai at any time before the trial ends, and you will not be charged. We confirm the cancellation by e-mail. Deactivating or uninstalling the Software does not cancel the trial.
5.6 One trial per Machine and per card. To enforce this, we keep the Machine Code used to activate each trial, and a card fingerprint supplied by our payment processor, Stripe. A Machine or card that has already been used for a trial cannot start another one.
5.7 If you cancel the trial. The license does not continue, and the Software switches to read-only mode (Section 10) when the trial ends. Your data stays. If the first charge fails instead, Section 6.4 applies.
6. Plans and payment
6.1 Prices and payment. Depending on the offer shown at checkout, you can buy a Permanent license with one payment (Section 6.2) or a 12-month subscription (Section 6.3). If you buy without a trial, the first charge is made when you buy. Prices are in US dollars and are shown at checkout. The amount shown at checkout is the total we charge, including any tax we are required to collect. Your bank may add its own fees or taxes to a payment in US dollars. Payments are processed by Stripe, and we never receive your full card number.
6.2 Permanent license (one payment). One charge, on day 15 of the trial, or when you buy if you buy without a trial. Once it succeeds, your license has no expiry date. Section 11 explains what "permanent" covers and what it does not.
6.3 12-month subscription.
(a) This is a subscription of 12 monthly charges. The amount of each charge is fixed at sign-up and shown at checkout.
(b) The charges stop on their own after the 12th. When 12 charges have been paid in total, your license becomes a Permanent license. The subscription never renews.
(c) This subscription is not a loan. There is no credit check, and you never owe a charge that has not yet been made. If you cancel, or the subscription ends because a charge was not paid, the charges stop and so does the license, because it becomes permanent only after 12 paid charges.
(d) While the subscription runs, the Software holds a short-term license that it renews online through the license check (Section 9.1). Each renewal lasts until 14 days after the end of the month already paid. In practice, the Software must connect to our server about once a month. If it cannot connect in time, it switches to read-only mode until it connects again.
6.4 Failed payments.
(a) First charge after the trial. The trial key stops working when the trial ends, so the Software is in read-only mode until the first charge succeeds. If the charge fails, it is tried again (for a Permanent license, 1, 3, 7, and 14 days after the first attempt, and we e-mail you a link to pay now after the first decline). If a retry succeeds before the license ends, we e-mail you the key for your plan. If every retry fails, the license ends, and for 30 days you can reactivate it at the same price in My licenses.
(b) Later monthly charges of a 12-month subscription. If a charge fails, Stripe tries it again, and each paid month keeps working until 14 days after it ends. If Stripe cancels the subscription because the charge was not paid, the license ends and the Software switches to read-only mode. For 30 days after that, you can reactivate it at the same price in My licenses.
6.5 Launch price. The first 30 licenses are sold at a launch price, although we may later decide to offer it to more buyers. Launch-price buyers also pay half of the regular price of any renewal of new versions, forever (Section 11.4).
6.6 Factory + Analytics bundle. A bundle includes AlgoLens Analytics for 12 months, counted from the first charge, under the AlgoLens Terms of Service. Analytics access under the bundle ends after those 12 months. It does not turn into a paid Analytics subscription by itself: you are charged for Analytics only if you sign up for it separately. If you cancel a 12-month bundle subscription, both the Factory license and the bundle's Analytics access end at the end of the month already paid.
7. Cancellation and refunds
7.1 How to cancel. You can cancel a trial or a 12-month subscription online, at any time, in My licenses on algolens.ai. We confirm every cancellation by e-mail. Deactivating or uninstalling the Software does not cancel anything.
7.2 Cancelling a 12-month subscription. No further charges are made. The Software keeps working until the end of the month already paid, then the subscription ends and the Software switches to read-only mode. Until then, you can undo the cancellation in My licenses. Charges already made are not refunded (except as Section 7.3 says). If you come back later, the count of paid charges continues where it stopped, at the price of the day.
7.3 Refund within 7 days of the first charge. If you ask within 7 days of your first charge (the single charge of a Permanent license, or the first monthly charge of a 12-month subscription), we refund that charge in full, and the license ends. To ask, write to contact@algolens.ai. After those 7 days there are no refunds, and later monthly charges are never refunded. This is why the trial gives you 14 days with every feature before any charge.
7.4 Refunds and chargebacks. A full refund, or a reversal of a charge through a dispute with your bank, ends the license for good, and the Software switches to read-only mode. A payment that reaches a license that has already ended or is already paid is returned automatically.
8. Activation and changing computers
8.1 Activation. To activate, enter your license key in the Software and accept this agreement. Activation needs an internet connection and ties the license to your Machine. Until a license is activated, the Software shows only the activation screen.
8.2 Trial key and paid key. During the trial you use a trial key. After the first successful charge we e-mail you a new key for your plan, which replaces the trial key (the Software calls it the permanent key). Entering it on the same Machine does not use a transfer. Until you enter it, the Software stays in read-only mode after the trial ends.
8.3 Deactivating in the Software. Settings, then License, then Deactivate this machine, frees the license so you can activate it on another Machine. It is free (it does not use a transfer), and it needs an internet connection at that moment. It removes the license from that Machine, and the Software there shows only the activation screen until a license is activated again. Your files stay on the disk. Deactivating does not cancel a trial or a subscription.
8.4 Freeing a computer on the website. If you cannot deactivate in the Software (for example, because the computer broke), free that Machine in My licenses. This uses one transfer. You have 3 transfers in any rolling 12-month period. If the freed Machine later connects to our server, it is told that the license has moved, and it switches to read-only mode. After you free a Machine, you may not keep using the Software on it.
8.5 More transfers. When you have used your 3 transfers, contact support.
8.6 Plan ahead. Reinstalling Windows or replacing the motherboard gives your computer a new Machine Code. Deactivate in the Software first, so you do not use a transfer.
9. What the Software sends, and what we keep
9.1 When the Software connects. The Software works without an internet connection. It contacts our server only:
(a) when you activate it;
(b) when you deactivate it;
(c) for the license check: when the Software starts, and once a day while it stays open, it checks the license if the last check was more than 7 days ago (or every day while the license is in read-only mode or outside its version window, so that a change reaches you quickly);
(d) when you click Check now, in Settings, then License, or in the version panel (Section 11.8);
(e) when you click Update now, to download the new version; the download sends nothing beyond what every contact carries (Section 9.2); and
(f) when the Software starts, and once a day while it stays open, to ask which version is the newest; this check sends nothing beyond what every contact carries (Section 9.2).
The answer to an activation, a license check, or a version check can include the number, release date, and download address of the newest version, so that the Software can tell you it exists. The Software never downloads or installs a version on its own.
Without an internet connection, the license check and the version check simply do not happen, and nothing is blocked, with two exceptions: a 12-month subscription license must be renewed online as Section 6.3(d) explains, and a trial license ends when the trial ends. A Permanent license never needs the license check to keep working.
9.2 What the Software sends.
- Activation: your license key, your Machine Code, the Software's version number and release date, and the version of this agreement you accepted.
- License check and deactivation: your license key and your Machine Code.
- Download of a new version: nothing beyond what every contact carries.
- Version check: nothing beyond what every contact carries.
- Every contact also carries the Software's version number in the standard technical header that names the program making the connection (the "User-Agent").
9.3 The Machine Code. It is a one-way code (a SHA-256 hash) calculated from the identifier of your Windows installation and the identifier of your computer's motherboard. It does not reveal those identifiers, your name, or your files. We use it only to tie your license to a Machine and to apply the one-trial-per-Machine rule. Settings, then License, shows its first characters.
9.4 What is never sent. The Software does not send your strategies, EAs, factories, reports, backtests, price data, trading or broker account information, files, or any information about how you use it. It contains no analytics or telemetry.
9.5 Your IP address. Like any internet connection, each contact, including the version check, shows your IP address to our server and its hosting provider. Our server uses it only in memory, to limit how many requests one address can make, and does not store it. Downloading a new version also shows your IP address to our hosting provider, which serves the file, as any download does (see the Privacy Policy).
9.6 What we keep. To run your license, we keep:
(a) your license data (plan, dates, Versions-until date, and the key);
(b) the identifiers of your customer record, subscription, and payment method at Stripe, and the card fingerprint (for the one-trial-per-card rule);
(c) for each activation: the Machine Code, the Software's version number and release date, the version of this agreement you accepted, and when the Machine was activated, last checked, and freed;
(d) which Machine Codes and card fingerprints have already used a trial; and
(e) a record of your consent at checkout: the exact terms shown to you, the versions of this agreement and of our terms, and your IP address and browser identification. We keep this record for at least 3 years.
The Privacy Policy explains how we handle this data.
9.7 Links. The Live performance screen and other links in the Software only open your web browser at algolens.ai. Clicking them sends nothing from the Software. Update now is not a link: it downloads the new version inside the Software, as Section 11.8 explains. The website has its own terms and is covered by the Privacy Policy.
9.8 Computer clock. The Software checks dates against your computer's clock. If the clock is set back by more than one day, a trial or 12-month subscription license switches to read-only mode until the date and time are correct again (if needed, click Check now in Settings, then License).
9.9 No new collection without your consent. We will not make the Software send anything beyond what this Section lists unless we first update this Section and the Privacy Policy and you accept the change.
9.10 Remote access on your local network. Remote access (Section 3.6) is off until you turn it on in Settings, then Remote access. When it is on:
(a) the Software accepts connections only from devices on the same local network as the Machine, and only with the password or a one-time code; it does not work over the internet;
(b) the connection uses plain HTTP and is not encrypted, so another person on the same network who has the right tools could see what passes between your device and the Machine (without the password or a code, that person cannot sign in). Use remote access only on networks you trust. The Software warns you about public Wi-Fi, and the choice of network is yours;
(c) nothing from remote access is sent to us. On your Machine, the Software keeps a fingerprint of the password (not the password itself) and, for each connected device, its type, its local network address, and when it connected, until you disconnect that device or its 30-day session ends.
10. License states
10.1 The Software is always in one of these states. Settings, then License, shows which one.
| State | When | What you can do |
|---|---|---|
| No license | Before activation, or after you deactivate the Machine | Only the activation screen. Your files stay on the disk. |
| Trial | Until the trial ends (Section 5) | Everything |
| 12-month subscription | While the subscription runs (Section 6.3) | Everything |
| Permanent | After a one-payment purchase, or after 12 paid charges of a 12-month subscription | Everything, with no expiry, in the versions released up to your Versions-until date |
| Read-only | The trial ended without a successful charge; a 12-month subscription was cancelled or not paid; a charge was refunded or reversed; the Machine was freed on the website; the license was ended under Section 17.2; the license stored on this computer belongs to another Machine (for example, after reinstalling Windows); or the clock was set back (Section 9.8) | Open, view, and organize everything you made, and re-test the EAs you already have. You cannot mine, run robustness tests, use the Studio or the Portfolio Creator, or export or view EA code. |
| Version outside your window | Your license is valid, but this version of the Software was released after your Versions-until date | Same as read-only, with two ways out: renew, if a renewal is offered, or install a version released up to your Versions-until date |
10.2 Nothing is deleted. No state deletes anything you created, and in read-only mode you can still open all of it. EAs you have already exported are ordinary files: they do not check your license and they keep working in MetaTrader 5.
11. New versions, and what "permanent" means
11.1 12 months of new versions included. Your license covers every new version we release within 12 months of your first charge. The trial does not count toward these 12 months. Your Versions-until date is shown in Settings, then License, and in My licenses. During the trial, every version works.
11.2 What "permanent" means. A Permanent license has no expiry date. The versions released up to your Versions-until date keep working with no time limit and no further payment. "Permanent" does not include new versions released after that date.
11.3 Optional renewal. We may offer a renewal that covers new versions released after your Versions-until date. A renewal is optional and paid, and it is never charged automatically: you buy it yourself. Before you pay, we show you its price and the new Versions-until date it gives you. The Software may show a notice before your Versions-until date.
11.4 Launch-price buyers. If you bought at the launch price, you pay half of the regular renewal price, forever.
11.5 Fixes count as versions. Any version released after your Versions-until date needs a renewal, including a version that only fixes errors.
11.6 Versions you are licensed for. If you install a version released after your Versions-until date, the Software tells you so. We may make earlier versions available for download, but we do not promise to keep every version available, so keep a copy of the installer you use.
11.7 No promise of future versions or compatibility. We are not required to release new versions. We do not promise that any version will keep running on future versions of Windows, or that exported EAs will keep compiling or running on future versions of MetaTrader.
11.8 Updating from the Software. The Software checks by itself whether a newer version exists, when it starts and once a day while it stays open (Section 9.1(f)). When a newer version exists, the Software shows it on the Home screen and in Settings, then About (and on the activation screen, if activation is refused because this agreement changed), with its number, release date, size, and a short note about what changed. If you click Update now, the Software downloads the installer from our server and checks that it is exactly the file we published; a file that does not match is deleted and never installed. When you then click Install now, the Software closes, Windows asks for your permission, and the installer replaces the program and opens the new version. Your factories, EAs, data, settings, and license are not touched. If your license does not cover that version (Section 11.6), the Software shows it and explains why, but does not download or install it, and offers renewal instead. You can also download the installer from our website and run it yourself.
11.9 If AlgoLens stops operating. A Permanent license is checked on your computer and keeps working on the activated Machine without our server. Activation, transfers, renewals, updating from the Software, and the 12-month subscription's online renewal, however, need our server and could become unavailable.
12. Trading risk. Please read.
12.1 Trading foreign exchange, CFDs, futures, metals, indices, or any leveraged product involves a substantial risk of loss and is not suitable for everyone. Depending on your broker and instrument, you can lose more than you deposit. Trade only with money you can afford to lose.
12.2 No promise of results. We do not promise or suggest that the Software, or any EA generated with it, will make money. Most candidate strategies found by searching historical data fail on new data, and even strategies that pass every test in the Software can lose money in live trading.
12.3 You decide, and you validate. You alone decide whether to trade any EA, on which account, with what position size and settings. Before you risk real money, you alone are responsible for validating each EA, including testing it on a demo account and checking that the exported code behaves as you expect with your broker.
12.4 An exported EA can differ from its backtest. Results inside the Software come from our own simulator. The same EA running in MetaTrader can produce different trades and results because of differences in price data, spreads, commissions, swaps, slippage, order execution, broker rules, platform version, and possibly errors in the Software.
12.5 Legality where you live, and trading for others. You are responsible for making sure that the instruments, brokers, and accounts you use are legal and appropriate where you live. If you use EAs to trade for other people, manage their money, or sell signals or EAs, you may need a license or registration, and that is your responsibility.
12.6 If you sell or share EAs. If you sell, share, or publish EAs, you are responsible for what you say about them and for following the law that applies to you. Do not say or suggest that AlgoLens endorses them or their results.
13. Hypothetical performance. Please read.
Backtests, optimizations, robustness tests, Monte Carlo simulations, and every other result shown in the Software are hypothetical. They have built-in limitations:
(a) They do not represent actual trading. No money was at risk, so they cannot show how real losses affect real decisions, such as abandoning a strategy during a drawdown.
(b) They are built with hindsight. Rules are kept because they would have worked on past data.
(c) When thousands of candidate rules are tested, some will look good by chance alone. Robustness and out-of-sample tests reduce this risk but do not remove it.
(d) Costs, liquidity, and execution are estimates. Real spreads, slippage, commissions, swaps, liquidity, and fills can differ, and the simulation can under- or overestimate their effect.
(e) Historical data can contain errors and gaps, and it differs from broker to broker.
(f) A strategy that worked in one period or market regime can stop working in another.
No one represents that any account will or is likely to achieve profits or losses similar to those shown. Past results, hypothetical or real, do not guarantee future results.
14. Warranty disclaimer
14.1 EXCEPT AS THIS AGREEMENT EXPRESSLY STATES, THE SOFTWARE AND EVERYTHING GENERATED WITH IT, INCLUDING EAS, CODE, AND RESULTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE FREE OF ERRORS OR INTERRUPTIONS, THAT ITS RESULTS WILL BE ACCURATE, OR THAT ANY EA WILL BE PROFITABLE OR WILL BEHAVE IN LIVE TRADING AS IT DID IN TESTING.
14.2 In plain words: the 14-day trial, and the refund within 7 days of the first charge (Section 7.3), exist so you can check that the Software works for you.
15. Limitation of liability
15.1 TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR TRADING LOSSES, LOST PROFITS, LOST DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE SOFTWARE, ANY EA, OR THIS AGREEMENT, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
15.2 TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SOFTWARE OR THIS AGREEMENT IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE LICENSE THE CLAIM RELATES TO, AND (B) US$100.
15.3 THESE LIMITS DO NOT APPLY TO LIABILITY THAT THE LAW DOES NOT ALLOW TO BE LIMITED, INCLUDING LIABILITY FOR OUR FRAUD, OUR INTENTIONAL MISCONDUCT, OR OUR GROSS NEGLIGENCE.
16. Claims by third parties
16.1 If someone else makes a claim against us because of (a) your use of the Software or of an EA, including an EA you sold, shared, or published, or trading done with it for you or for others, or (b) your breach of this agreement, you will cover the reasonable costs and damages that result, including reasonable legal fees.
16.2 This Section does not apply to the extent the claim is caused by our own fault. We will tell you promptly about any such claim, and you may take part in the defense with a lawyer of your choice.
17. Ending a license
17.1 You can stop using the Software at any time. To stop a trial or a 12-month subscription, cancel as Section 7 explains.
17.2 Us, if you break the license rules. If you materially breach Section 3, for example by sharing your license key, distributing the Software, working around the license check, or letting another person use the Software through remote access, we may end your license by e-mail notice. If the breach can be fixed, we will first ask you to fix it and give you a reasonable time to do so.
17.3 What happens then. When a license ends for any reason, the Software switches to read-only mode, and nothing is deleted. Sections 3.3 to 3.5, 4, 12 to 16, and 18 to 22 continue to apply.
18. Export and sanctions
You may not use, export, or re-export the Software in breach of US export control or sanctions laws, including to any country, region, or person under US embargo or sanctions. You confirm that you are not on a US government restricted-party list and are not located in an embargoed country or region.
19. Changes to this agreement
19.1 We may publish a new version of this agreement, for example for a new version of the Software or because the law changed. Each version has its own version label, shown at the top.
19.2 A new version applies to you only once you accept it. The Software asks you to accept the version that comes with it when you activate it, and the website may ask you when you buy something new.
19.3 A new version will never take away rights you have already paid for: your license type, your Versions-until date, your transfers, the fixed amount of your 12-month subscription charges, or your ownership of your EAs.
19.4 If you do not accept a new version, you may keep using the versions of the Software you are licensed for under the version of this agreement you accepted, including activating them on another Machine.
20. Governing law and disputes
20.1 Talk to us first. Before starting a claim, please e-mail contact@algolens.ai describing the problem, and we will try to solve it within 30 days. This does not stop you from going to small-claims court, and it does not extend or shorten any legal deadline.
20.2 Law. The laws of the State of Florida and applicable US federal law govern this agreement, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
20.3 Courts. Disputes will be decided by the state or federal courts located in the State of Florida, and you and we accept their jurisdiction. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over it.
21. General
21.1 Whole agreement. This agreement, with the documents in Section 1.3, is the whole agreement between you and us about the Software.
21.2 If a part is invalid. If a court finds any part of this agreement unenforceable, that part is applied to the extent allowed, and the rest stays in force.
21.3 No waiver. If we do not enforce a right at once, we have not given it up.
21.4 Transfer of this agreement. You may not transfer this agreement or your license. We may transfer it, with notice to you, to a company that takes over the Software, as long as your rights under it do not change.
21.5 Events beyond control. Neither of us is responsible for delays caused by events beyond reasonable control, such as outages of internet or payment providers.
21.6 Notices by e-mail. We send notices to the e-mail address on your Account. Send notices to us at contact@algolens.ai.
21.7 Language. This agreement is written in English. If we offer a translation, it is for convenience only, and the English version prevails.
